Co-op Membership: How to Become a Member

Seven Bridges is a Cooperative Corporation that exists to promote organic brewing and the highest standards of quality for organic ingredients, to combine resources with its Members to increase buying power and market advantage, and to support organic farming of barley malt and hops. As a Cooperative Seven Bridges is structured to be democratically run by its Members, each of whom is entitled to an equal vote regardless of how many shares are owned.

Investing in a Co-op is different than investing in other types of businesses. This is a "no spectators" type of organiization. Every Member is expected and encouraged to contribute more than money or paid time on the clock. Although the way in which each Member contributes may differ, the end result is the same: every Member's contribution helps the Co-op's business grow and improve. Although the money invested is important because without it growth and new ventures would not be possible, the cash contribution is not the most valued contribution expected of a Seven Bridges Member. The most valued contributions are the ideas, expertise, shared values, commitment to the Co-op, and willingness to pitch in where help is needed the most.

Seven Bridges has a cap on the number of Member Owners which is set at 50 Members. The Co-op is selective about who becomes a Member, and it may not always be possible to join. Keeping the Membership small makes it possible to operate at the pace of a normal business and keeps the administrative costs needed to maintain Membership records relatively low. Becoming a Member is a unique commitment and as such is not the right fit for everyone. Benefits of Membership:

1: Member prices for all goods and services:

*15% over true cost for all individual items under $199
*10% over true cost for all individual items between $200 and $499
*5% over cost for all individual items over $500
*All services & rentals are half regular price for Members
*True cost includes procurement costs such as transport and fees and production costs
such as packaging labor and materials.
*Individual item is one unit or package size, for instance an 11 lb bag of hops or a 50 lb bag of grain.
*Each tier of Membership has a spending limit appropriate to the size of the Membership.

2: All investments buy non-transferable shares in the Cooperative, thus all Members are also owners

*Shareholders own equity in the company.
*Shares can be sold back to the company if circumstances permit
*Shares earn dividends when the Cooperative has a profitable year.

3: All Members have an equal vote in voted decisions.

*Members who maintain active Membership can vote in annual elections for the Board and Member-wide decisions
*Active Members are eligible to serve on the Board. All Members are welcome to participate in monthly Board meetings whether they are Board Members or not.

There are 3 kinds of Memberships, each with its own minimum investment requirement:

1: Individual Member-Investor: 1 vote, max shares 30,000

*$50 one-time Membership fee
*$3200 minimum invesment plus $100 annual investment requirement
*Minimum investment may paid in installments over a period of up to 5 years

*No annual spending limit. All purchases must be for personal use. Reselling, or using items commercially is prohibited for individual Members.

2: Employee Member: 1 vote, max shares 30,000

*Must be employed at least 20 hours per week for six months before eligible. No fee.
*$3100 minimum investment- can be made in hours at the rate of $1 per hour (in lieu of pay) until minimum fully paid.
*$100 annual investment requirement thereafter may be deducted from pay or paid in cash.

*No annual spending limit. All purchases must be for personal use. Reselling, or using items commercially is prohibited for Employee Members.

3: Trade Member (a business entity): 1 vote, max shares 30,000

*$100 Membership fee per year (all Trade Members)
*Minimum investment depends on size of business:

#1: Very Small Trade Member: Annual sales up to $250,000
-$7,500 minimum investment plus $100 annual investment
-Minimum investment may be paid in installments, up to 3 years
-Annual spending limit of $25,000 at Member prices

#2: Small Trade Member: Annual sales up to $500,000
-$10,000 minimum investment plus $250 annual investment
-Minimum investment may be made in installments, up to 3 years
-Annual spending limit of $50,000 at Member prices

#3: Trade Member: Annual sales up to $1,000,000
-$15,000 minimum investment plus $500 annual investment
-Minimum investment may be made in installments, up to 3 years
-Annual spending limit of $100,000 at Member prices

#4: Large Brewery Member: Annual sales over $1,000,000
-$20,000 minimum investment plus $1,000 per additional $1m in sales (no installments)
-$1000 annual investment plus $100 per additional $1m in sales
-No annual spending limit

How to become a Member:

#1: Staff Members become Members if they meet performance standards and have worked for Seven Bridges for six months. Staff Members must attend at least one Co-op Board or Annual Meeting before Membership can be activated. Final decision to grant Membership is made by staff supervisor.

#2: Member Investors and Trade Members must fill out an application, pay the Membership fee, and attend a Regular Board or Annual Members Meeting. The Board of Directors votes on the Membership application in a closed session after the application requirements have been met.

How to Remain an Active Voting Member:

#1: Meet the minimum investment requirements and the annual minimum investment, or remain employed as a Staff Member.

#2: Attend in person or by proxy the Annual Members Meeting

#3: If a Membership becomes inactive it may be reactivated at any time by meeting the minimum investment requirement and attending in person or by proxy any Co-op Board Meeting. The Co-op Board may at any time elect to rescind an inactive Membership by buying back the shares owned by that Membership.
